Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the UpLeads application and website (the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

UpLeads is a tool that helps Upwork freelancers find and evaluate jobs, research keywords, draft proposals, and reply to client messages, partly using AI-assisted features. UpLeads is an independent product and is not affiliated with, endorsed by, or sponsored by Upwork.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for activity under your account and for keeping your credentials secure. You must provide accurate information and keep it up to date.

3. Connecting your Upwork account

Features that rely on Upwork data require you to authorize access through Upwork. You are responsible for complying with Upwork’s own terms of service and policies when you use UpLeads. You must not use the Service in any way that violates Upwork’s rules. You can revoke access at any time.

4. AI-generated content

The Service uses AI to generate proposals, scores, replies, and other outputs. These outputs may be inaccurate, incomplete, or unsuitable for your purpose. You are solely responsible for reviewing, editing, and deciding whether to use any AI-generated content before sending it to a client or submitting it on any platform. We make no guarantee that using the Service will result in jobs, interviews, or income.

5. Plans, billing, and the Pro plan

• Free plan. We offer a free tier that you can use within the limits described in the app.
• Pro plan. Paid features require a subscription. The Pro plan is paid because each AI-assisted action incurs token costs that we pay to AI providers on your behalf. Subject to fair-use limits described below, the Pro plan lets you use these features without a per-action credit quota.
• Billing. Subscriptions are billed in advance on a recurring basis through our third-party payment provider. Prices and plan details are shown at checkout and may change with notice.
• Fair use. “Unlimited” or quota-free usage on the Pro plan is intended for normal individual freelancer use. To protect the Service for everyone, we may apply reasonable rate limits or contact you if usage is automated, abusive, or far outside typical patterns. We may suspend or adjust accounts that materially exceed fair use.
• Cancellation and refunds. You may cancel at any time; access continues until the end of the current billing period. Except where required by law, payments are non-refundable.

6. Acceptable use

You agree not to:

• Use the Service to violate any law or any third party’s rights.
• Misuse, scrape, overload, reverse-engineer, or attempt to gain unauthorized access to the Service or its underlying systems.
• Resell, sublicense, or share your account access with others except as allowed by your plan.
• Use the Service to generate misleading, fraudulent, or deceptive content.

7. Your content

You retain ownership of the content you submit. You grant us a limited license to process and store that content solely to operate the Service for you, including sending it to the providers described in our Privacy Policy. You are responsible for ensuring you have the right to submit any content you provide.

8. Intellectual property

The Service, including its software, design, and branding, is owned by UpLeads and protected by law. These Terms do not grant you any right to our trademarks or to copy the Service.

9. Availability and changes

We may modify, suspend, or discontinue any part of the Service at any time. We aim for reliable uptime but do not guarantee the Service will be uninterrupted or error-free.

10. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, UpLeads will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to us, other users, or third parties.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the effective date above. Continued use after changes take effect constitutes acceptance.
